L'Etat s'appropriera tous les actifs d'ADP y compris le foncier

Le gouvernement français tient son nouveau cadre juridique adapté pour des cessions dans ADP (Aéroports de Paris), Engie et la Française des Jeux. En raison de ce changement législatif et de l'expropriation des actifs d'ADP, l'Etat va devoir indemniser le groupe, "ce qui sera évidemment fait", a indiqué un porte-parole à Bercy à l'agence Agefi-Dow Jones.

Les mesures permettant à l'Etat de vendre ses participations dans ADP, FDJ et Engie seront incluses dans la loi Pacte, qui sera présentée lundi 18 juin en conseil des ministres.

L'examen du texte devrait débuter "au mois de septembre", selon le ministère qui table sur une adoption début 2019, ce qui signifie que les cessions d'actifs n'interviendront pas avant cette date.

En ce qui concerne Engie, dont l'Etat détient 24,1% du capital et 33% des droits de vote, le gouvernement conservera une action spécifique ("golden share"), qui lui donnera le droit de s'opposer à des cessions d'actifs jugés stratégiques, comme des infrastructures de transport gazier ou de stockage.

La société ADP, qui bénéficiait jusqu'ici d'une licence d'exploitation illimitée, bénéficiera donc d'une "juste et préalable indemnité", indique-t-on de même source.

Mis en place le 15 janvier dernier, il est constitué d'1,6 milliards d'euros issus des cessions d'actifs d'Engie et Renault, déjà effectuées au second semestre 2017, et de 8,4 milliards d'euros d'actions d'EDF et Thales appartenant à l'Etat. Les dividendes générés par les actifs qui la composent - entre 200 et 300 millions d'euros par an - seront notamment consacrés au financement de l'innovation de rupture.
